InvoiceNow reserves the right to amend or supplement these Terms at any time. Any changes will be posted on this page with an updated date, and your continued use of the platform after such changes constitutes acceptance of the revised Terms. InvoiceNow is an open-source, community-driven project focused on streamlining global invoicing and payments. All information, features, and tools are provided on an "as-is" and "as available" basis. We make no representations or warranties regarding the accuracy, completeness, reliability, or suitability of the platform for any particular purpose.

Users are solely responsible for their own financial, business, and compliance decisions. You should seek independent professional advice (legal, tax, accounting, and financial) before using the platform or engaging in any transactions.

InvoiceNow provides software tools that enable users to generate invoices and initiate peer-to-peer payments on supported blockchain networks. InvoiceNow does not take custody of, hold, or control user funds or assets. All payments are executed directly between users through self-custodial wallets or supported third-party payment rails. Users are responsible for determining the regulatory treatment of their own activities in their jurisdiction.

By using InvoiceNow, you confirm that you have sought independent third-party advice regarding the use of blockchain, cryptocurrencies, and cross-border payments, including any associated regulatory implications in your jurisdiction. Some services (e.g., fiat on-ramps, off-ramps, or KYC/AML processes, if offered) may be provided by third-party partners. You acknowledge and accept the risk of total loss of any funds involved in transactions due to volatility, technical failures, smart contract risks, or other factors. InvoiceNow is not responsible for any loss of value or funds.

Risks

You understand and agree that using blockchain-based invoicing and payment tools involves significant risks. You should only use InvoiceNow if you have substantial experience with cryptocurrencies, wallets, blockchain networks, and the risks involved.

Key risks you acknowledge and accept include (but are not limited to):

  • Loss of private keys or wallet access: You are solely responsible for the security of your wallet and private keys. Loss of access may result in permanent loss of funds.
  • Volatility: Cryptocurrency values can fluctuate dramatically and may become worthless.
  • Smart contract and technical risks: Bugs, exploits, or failures in smart contracts or blockchain networks may lead to loss of funds.
  • Regulatory risks: Laws regarding digital assets, invoicing, and cross-border payments may change and vary by jurisdiction.
  • Liquidity and settlement risks: Delays, failed transactions, or inability to convert between fiat and crypto may occur.
  • Fraud and security risks: You may encounter fraudulent invoices or payments. Always verify counterparties independently.
  • Third-party risks: Services provided by external partners (e.g., oracles, bridges, payment processors) carry their own risks.

You agree that InvoiceNow shall not be liable for any losses arising from these or any other risks associated with blockchain technology or digital payments.

Information, Security and Privacy

We collect, process and store personal information in accordance with our Privacy Policy, which sets out the lawful bases on which we rely, the categories of data we process, retention periods, international transfers, and your rights as a data subject. Please review the Privacy Policy before using the platform.

You acknowledge that transmissions over the internet and blockchain are not completely secure. We do not guarantee that any communication or transaction will be error-free, secure, or uninterrupted.

You are responsible for maintaining the confidentiality and security of your wallet and account credentials. InvoiceNow is not liable for any unauthorized access to your wallet or resulting losses.

Intellectual Property Rights

No Liability

To the fullest extent permitted by law, InvoiceNow, its affiliates, team members, and service providers shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of (or inability to use) the platform, including any loss of funds, data, profits, or business opportunities.

You agree that you use the platform entirely at your own risk.

No Waiver

No failure or delay by InvoiceNow in enforcing any right under these Terms shall constitute a waiver of that right.

Governing Law and Jurisdiction

Any dispute arising out of or in connection with these Terms shall first be raised with InvoiceNow in writing, and the parties shall attempt to resolve it in good faith within 30 days. If unresolved, the dispute shall be referred to and finally resolved by arbitration seated in Poland under the Rules of the Court of Arbitration at the Polish Chamber of Commerce (SA KIG), by a sole arbitrator, in the English language. Nothing in this clause affects any non-waivable right of a consumer to bring proceedings in the courts of their country of habitual residence, or any non-waivable right to participate in collective redress proceedings where applicable law so provides.

You represent and warrant that you are not on any sanctions list and are not located in a jurisdiction subject to comprehensive sanctions that would prohibit your use of the platform.

Third Party Rights

No person who is not a party to these Terms has any right to enforce any provision herein.
