TERMS OF USE

1. Introduction and Acceptance of Terms

This website is owned and operated by InvoiceNow.Finance and its affiliates (collectively, "InvoiceNow," "we," "us," or "our").

These Terms of Use (these "Terms") constitute a legally binding agreement between you and InvoiceNow.Finance governing your (a "User," or "you") access to and use of the InvoiceNow.Finance website (https://www.invoicenow.finance), platform, decentralized applications ("dApps"), and all related products and services, including invoice creation, payment requests, settlement tools, and any associated features (collectively, the "Services").

By accessing the website or using the Services, you unconditionally agree to be bound by these Terms. If you do not accept these Terms in their entirety, you must immediately discontinue accessing the website and cease using the Services.

By registering for an account, connecting a wallet, creating or receiving invoices, or otherwise using any part of the InvoiceNow platform, you represent that you have read, understood, and accepted these Terms, together with any additional documents referenced herein.

InvoiceNow reserves the right to amend or supplement these Terms at any time. Any amendment will be posted on this page together with an updated effective date, and your continued use of the platform following such amendment constitutes acceptance of the revised Terms. If you do not agree to the amended Terms, you must immediately cease all use of the platform.

2. General Disclaimers

2.1 No Financial, Legal, or Investment Advice

InvoiceNow is a decentralized invoicing and payment infrastructure built on blockchain technology. We do not provide financial, investment, legal, tax, or accounting advice, and nothing on this platform shall be construed as financial or investment advice of any kind.

2.2 No Warranty; “As Is” Basis

InvoiceNow is an open-source, community-driven project focused on streamlining global invoicing and payments. All information, features, and tools are provided on an “as is” and “as available” basis. We make no representation or warranty regarding the accuracy, completeness, reliability, or suitability of the platform for any particular purpose, and no warranty of any kind, whether express, implied, or statutory, is given, including without limitation any warranty of fitness for a particular purpose or freedom from viruses or malicious code.

Users are solely responsible for their own financial, business, and compliance decisions and should seek independent professional advice, including legal, tax, accounting, and financial advice, before using the platform or engaging in any transaction.

2.3 Non-Custodial Nature of the Services

InvoiceNow provides software tools that enable Users to generate invoices and initiate peer-to-peer payments on supported blockchain networks. InvoiceNow does not take custody of, hold, or control User funds or assets. All payments are executed directly between Users through self-custodial wallets or supported third-party payment rails. Users are solely responsible for determining the regulatory treatment of their own activities in their respective jurisdictions.

2.4 Third-Party Services and Independent Advice

By using InvoiceNow, you confirm that you have obtained independent, third-party advice regarding the use of blockchain, cryptocurrencies, and cross-border payments, including any regulatory implications applicable in your jurisdiction. Certain services, such as KYC/AML processes, where offered, may be provided by third-party partners, in which case the relevant third party’s terms and privacy policy will govern that portion of the service. We do not warrant the accuracy, adequacy, or completeness of any information available on the platform or accessible through linked third-party services.

2.5 Experimental Technology

Use of the InvoiceNow platform involves experimental blockchain technology. You acknowledge and accept the risk of total loss of any funds involved in a transaction as a result of volatility, technical failure, smart contract risk, or other factors. InvoiceNow shall have no responsibility for any resulting loss of value or funds.

3. No Solicitation or Prospectus

The information and services available on this website do not constitute an offer to sell, a solicitation to buy, or a recommendation in respect of any digital asset, investment, or financial product, and nothing herein shall be regarded as a prospectus or as investment advice.

Any forward-looking statements made on the platform are speculative in nature and involve risks and uncertainties. InvoiceNow disclaims any obligation to update such statements.

This platform supports invoicing and payment services only; all payments are executed directly between the invoice creator and payer via self-custodial wallets or supported payment rails.

4. Risks

You understand and agree that the use of blockchain-based invoicing and payment tools involves significant risk. You should use InvoiceNow only if you have substantial experience with cryptocurrencies, wallets, blockchain networks, and the risks associated therewith.

The risks you acknowledge and accept include, without limitation, the following:

  • Loss of private keys or wallet access: you are solely responsible for the security of your wallet and private keys. Loss of access may result in the permanent loss of funds.
  • Volatility: the value of cryptocurrency can fluctuate significantly and may become worthless.
  • Smart contract and technical risk: bugs, exploits, or failures affecting smart contracts or blockchain networks may result in the loss of funds.
  • Regulatory risk: laws governing digital assets, invoicing, and cross-border payments are subject to change and vary by jurisdiction.
  • Liquidity and settlement risk: delays, failed transactions, or an inability to complete a payment may occur.
  • Fraud and security risk: you may encounter fraudulent invoices or payment requests. Counterparties should always be verified independently.
  • Third-party risk: services provided by external partners, such as oracles, bridges, or payment processors, carry their own inherent risks.

You agree that InvoiceNow shall not be liable for any loss arising from the foregoing or from any other risk associated with blockchain technology or digital payments.

5. Information, Security, and Privacy

We collect, process, and store personal information in accordance with our Privacy Policy, which sets out the lawful bases on which we rely, the categories of data we process, applicable retention periods, international transfers, and your rights as a data subject. Please review the Privacy Policy before using the platform.

You acknowledge that transmissions made over the internet and blockchain networks are not completely secure. We do not guarantee that any communication or transaction will be error-free, secure, or uninterrupted.

You are responsible for maintaining the confidentiality and security of your wallet and account credentials. InvoiceNow shall not be liable for any unauthorized access to your wallet or for any resulting loss.

6. Third-Party Websites and Services

Links to third-party websites or services are provided for convenience only. InvoiceNow exercises no control over such sites and assumes no responsibility for their content, privacy practices, or security. You access any such third-party site or service at your own risk.

7. Intellectual Property Rights

All content, including software, data, text, images, graphics, tools, logos, trademarks, and service marks made available through the InvoiceNow.Finance website and platform, is the property of InvoiceNow or its licensors and is governed by these Terms. You may not reproduce, distribute, modify, or create derivative works from any such content without our prior written permission.

You are granted a limited, non-exclusive, revocable license to access and use the platform solely for its intended purpose.

8. Limitation of Liability

To the fullest extent permitted by applicable law, InvoiceNow, its affiliates, team members, and service providers shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the platform, including any loss of funds, data, profits, or business opportunities.

You acknowledge and agree that your use of the platform is entirely at your own risk.

9. No Waiver

No failure or delay by InvoiceNow in enforcing any right under these Terms shall constitute a waiver of that right.

10. Governing Law and Jurisdiction

Any dispute arising out of or in connection with these Terms shall first be raised with InvoiceNow in writing, and the parties shall use good-faith efforts to resolve the dispute within thirty (30) days. If the dispute remains unresolved, it shall be referred to, and finally resolved by, arbitration seated in Poland under the Rules of the Court of Arbitration at the Polish Chamber of Commerce (SA KIG), before a sole arbitrator, conducted in the English language. Nothing in this clause shall affect any non-waivable right of a consumer to bring proceedings before the courts of their country of habitual residence, or any non-waivable right to participate in collective redress proceedings where applicable law so provides.

You represent and warrant that you do not appear on any sanctions list and are not located in a jurisdiction subject to comprehensive sanctions that would prohibit your use of the platform.

11. Third-Party Rights

No person who is not a party to these Terms shall have any right to enforce any provision of these Terms.

12. Acknowledgment
